Ataraxia VC is hiring an in-house counsel for the global funds we manage. This is a full-time role open to applicants currently residing in the US or EU. The applicant must be an attorney with experience in venture capital deals and documents. Ideally will have some experience in fund management and financial operations as well. Ataraxia VC is a Global Venture Capital firm that currently manages 3 families of funds:  Social Starts funds, which are fully invested, and being managed through their lifecycle; Joyance Partners, a set of 4 single-LP funds based in the US and Europe; and SH2, a new multi-LP fund based in the US and focused on companies related to health and happiness worldwide. We operate mainly at the pre-seed and seed stage, with follow-on investments through the Series A.. We have an existing portfolio of more than 250 active companies globally, spanning areas such as Genetics, Biotech, Neuroscience, Precision Health, Next-Gen Food, Longevity, Femtech.

We are currently looking to hire a legal counsel to join the team. As the In-house Counsel, you will work alongside our General Partner and management team on all legal matters relating to the fund, its transactions, and its portfolio. The role will also include compliance and related issues. Ideally, this team member will be able to oversee our outside counsel, European fund manager, strategic finance consultants, and other operational roles, as well as oversee our external fund management platform.

RESPONSIBILITIES

  • Providing legal advice to the investment teams on new investments, divestments, and other transactions.

  • Drafting and negotiating deal documents, corporate contracts, and other investment agreements.

  • Drafting and negotiating banking and finance documentation.

  • Working with portfolio company management teams and co-investors to proactively identify solutions to deal, operational, and exit challenges.

  • Providing legal support on all fund-related legal matters.

  • Managing relationships with external legal advisors, and potentially financial advisors.

  • Manage our relationship with our European fund manager of record for our European fund.

  • Manage the day-to-day operation of the funds and fund administration as we continue to grow.

YOUR PROFILE

  • Relevant venture capital or private equity legal and deal experience

  • At least 5+ years of experience in venture capital law with some experience in fund management.

  • Strong transactional background.

  • Competent drafting, interpreting, and communicating all legal documentation.

  • Proficient Microsoft Office user.

Desirable:

  • Working knowledge of the technologies used in the science and technology space.

  • Strong scientific or technical background.

  • Established senior relationships with potential sellers, founders, and developers in the areas of interest to the fund.

Leadership:
